What Keel is

Keel is a system of record. It keeps a company's statutory registers, minutes, resolutions and filing calendar as a chain of sealed entries, and prints extracts from them. It is used by a professional firm on behalf of its client companies.

What Keel is not

Keel does not give legal advice. The due dates it computes come from a published rule set with a version number; the firm remains responsible for every filing and for checking any date it relies on. Keel does not file forms with the Registrar of Companies and does not estimate penalties; the exposure shown on the calendar is a computed additional fee under the rules in force, shown for planning.

Entries are permanent

Nothing recorded in a book can be edited or deleted, by the firm or by Keel. A mistake is corrected by a new entry that cites the old one. Every entry carries the name of the person who recorded it. By using Keel you accept that what you record stays in the book under your name.

The firm's responsibilities

The firm is responsible for: the accuracy of what it records and attests; keeping its users' passwords and authenticator devices safe; granting seats only to people entitled to see a book; obtaining the company's authority to keep its registers other than at its registered office (s.94 or Rule 27) where that applies; and telling Keel promptly if a book appears wrong.

Assist

The assist features draft, explain and check. They never record, never seal, never compute a due date and never touch the chain. Anything they produce is marked as a draft until a person confirms it, and the person who confirms is responsible for it.

Availability and data

Keel keeps its data in India and runs a verification of every chain nightly. A book that fails verification is frozen, read-only, until the difference is resolved, and the firm is told. The firm may export its books as printed registers, packs and extracts at any time. On ending the service the firm receives its books in full; Keel keeps nothing it is not required to keep.

Fees, the term and the number of companies are set out in the firm's agreement with Keel. These terms apply to every user the firm invites.

Law

These terms are governed by the laws of India and the courts at New Delhi.
